PT PMA, nominee or long lease: where the investor's rights sit

Paying for land or shares does not make the payer the registered holder. Before investing, identify the right, the person or company that holds it, and the documents a court or future buyer can verify.

In brief

The distinction: a PT PMA is a recognised Indonesian company through which eligible foreign investment may be made. A long lease grants contractual use rights for a stated term. A nominee structure places the registered land right or shares in another person's name while private documents try to give the economic backer control. These structures create different legal rights and should not be marketed as equivalents.

What the records show

In a PT PMA, the foreign investor is recorded as a shareholder of an Indonesian company, subject to the permitted activity, ownership limits, capital rules and licences. The company, not the shareholder personally, may hold rights available to that entity, such as Hak Guna Bangunan when the conditions are met.

In a land lease, the landholder remains registered and the investor receives the contractual rights written into the lease. Term, renewal, assignment, inheritance, default and remedies depend on that contract and the authority of the person granting it.

In a nominee structure, an Indonesian person or entity appears in the land or share register, while side agreements, powers of attorney, debt acknowledgements or options attempt to give another person the economic benefit or control. The mismatch between the register and the private arrangement is the central risk.

Why nominee documents can fail

Article 33 of Investment Law 25/2007 prohibits agreements or statements that shares are held for and in the name of another person and declares such arrangements null and void. For land, Article 26(2) of the Basic Agrarian Law addresses direct or indirect transfers of Hak Milik to persons who are not eligible to hold it.

The practical consequences can surface in several ways:

  • Control: the registered holder can refuse to sign, grant security, transfer the right or become unreachable.
  • Personal events: death, divorce, insolvency or family conflict involving the registered holder can affect the asset.
  • Enforcement: a court may refuse to enforce documents whose purpose conflicts with mandatory law.
  • Disclosure: beneficial-ownership, banking, tax and anti-money-laundering checks may expose the mismatch.
  • Exit: a buyer, lender or notary will examine the registered rights and the chain of authority, not only who originally provided the money.

Published Bali decisions illustrate the fact-specific nature of these disputes. See Denpasar High Court 247/PDT/2021/PT DPS and Gianyar District Court 259/Pdt.G/2020/PN Gin. They should not be read as an automatic outcome for every set of documents.

What Bali Perda 4/2026 covers

Bali's 2026 regional rule addresses the conversion of specified productive land and nominee transfers within that field. The official Bali spatial-planning summary describes administrative measures that can progress to suspension, site closure, licence revocation or demolition for the covered breaches.

The summary cannot be applied as if every nominee dispute led automatically to every sanction. The parcel classification, conduct, permits, parties and applicable national law must be reviewed for the specific file. Our construction and productive-land note explains the separate spatial context.

What a PT PMA solves

A properly incorporated and operated PT PMA records foreign share ownership in a recognised company structure. It can enter contracts, keep accounts, report investment and, where permitted, hold a land right available to the company. Authorities and courts can recognise those rights subject to the title, corporate powers, licences, contracts and facts.

The foreign shareholder still receives no personal Hak Milik, and the company structure cannot cure prohibited land use, missing building approval, unlicensed accommodation or tax failure. The company must carry the correct business activity, meet its capital and investment requirements, keep proper accounts and file the required reports.

The activity must pass four separate gates: the facts must match the KBLI description; OSS must offer the appropriate enterprise scale; foreign investment must be permitted or its conditions met; and the required NIB, standard certificate or licence must be effective. The risk label answers mainly the fourth question. A low-risk activity is not automatically forbidden to a PT PMA, and an NIB-only route is not automatically open to one.

Do not infer current availability from an old company record. A valid licence may remain effective through a classification transition even when a new applicant could not obtain the same activity today. That is a grandfathering question, not proof of a present route. Review the original holder, shareholding, issue date, authorised activity and address, later changes and current operation.

The 2025 investment regulation sets a minimum placed and paid capital of IDR 2.5 billion per PT. Its provisions on the use of paid capital should not be described as a blanket twelve-month freeze: the regulation expressly contemplates use for company assets, building construction and authorised operations, while the exact application should be checked in the active OSS and company file.

Where a long lease fits

A long lease is one recognised contractual route for a foreign investor who wants defined use rights without acquiring shares in a PT PMA. Its strength depends on the landholder's title and authority, the term, renewal mechanism, assignment and inheritance clauses, registration or notarisation where applicable, default provisions and remedies.

It remains a contract, not a freehold title. That can suit a finite personal-use project or a smaller residence, provided the investor prices the declining term and renewal risk. Commercial accommodation still requires its own compliant operator, building file, business classification, licences and tax registrations.

Common questions

Can a foreign individual own land under Hak Milik? No. Other rights and structures may be available depending on residence, use and the proposed holder, but Hak Milik is reserved for eligible Indonesian holders.

Is a long lease safer than a nominee arrangement? A valid lease states the contractual rights openly and can therefore be assessed on its terms. It is one recognised route, not a guarantee. The land title, lessor's authority and contract still require independent review.

Does a PT PMA authorise short-term villa rentals? Not by itself. The company also needs the correct activity classification and the property must satisfy the applicable planning, building, tourism, tax and operating requirements.

Does low risk mean a PT PMA is ineligible? No. Risk tier, enterprise scale and foreign-investment access are separate tests. A PT PMA can carry a low-risk activity when the other legal gates are satisfied.

What should be checked before paying? The land search, registered holder, corporate register, beneficial ownership, authority to sign, permitted activity, investment and capital records, building and operating file, tax position, and the proposed exit documents.
